These Terms and Conditions (“Terms”) govern your use of www.vormiragroup.com (the “Website”) and any business enquiry, quotation, purchase, or transaction with Vormira Group (“Vormira Group”, “we”, “us”, “our”). By accessing the Website, submitting an enquiry, or placing an order, you agree to these Terms.

We operate strictly as a B2B exporter, wholesaler, and supplier from India. We do not deal with B2C retail customers. Minimum B2B order value is INR 5,000.

1. DEFINITIONS

“Buyer”, “you”, “your” means the business customer, company, firm, or its authorized representative.
“Products” means goods offered by us, including imitation jewellery, handicrafts, kitchenware, dresses, lifestyle fashion, and related categories.
“Order” means any purchase order, confirmation, or acceptance of a quotation or proforma invoice.
“Website” means www.vormiragroup.com and its pages.

2. B2B ONLY. ELIGIBILITY

You confirm that you are acting for business purposes only and have authority to bind the business you represent.
We may refuse service, cancel enquiries, or decline orders that appear to be for personal or consumer use.

3. WEBSITE USE

You agree to use the Website only for lawful business purposes. You must not:

  • attempt to gain unauthorized access to systems or data
  • introduce viruses, malware, or harmful code
  • scrape, copy, or misuse product data, pricing, images, or content for competing listings without permission
  • misrepresent your identity, business details, or intent

We may suspend or block access if we believe the Website is being misused.

4. PRODUCT INFORMATION AND AVAILABILITY

We try to keep product details accurate, but product images, colors, finishing, size, weight, packaging, and appearance may vary due to lighting, screen differences, handmade processes, batch variation, and material availability.
Product availability can change without notice. We may discontinue or modify products at any time.

5. ENQUIRIES, QUOTATIONS, AND ORDER CONFIRMATION

Submitting an enquiry does not create a contract.
Any quotation, catalog, or price shared is an invitation to do business and may be subject to change unless expressly confirmed in writing.
A binding contract is formed only when we confirm your Order in writing, or issue a confirmed proforma invoice, or accept payment against an agreed order.

6. MINIMUM ORDER VALUE AND BUSINESS TERMS

Minimum B2B order value: INR 5,000 per order (or equivalent for export orders where agreed).
We reserve the right to set product wise minimum quantities, packing multiples, or assortment requirements depending on the category and production constraints.

7. PRICING, TAXES, AND INVOICING

Prices are as mentioned in the quotation, proforma invoice, or order confirmation.
Unless stated otherwise:

  • GST and other applicable taxes are extra for domestic supplies
  • freight, handling, packing, and insurance (if any) are extra and charged as applicable

For exports, taxes, duties, port charges, customs, clearance fees, and local destination charges are borne by the Buyer unless agreed otherwise in writing.

8. PAYMENT TERMS

Payment terms are as stated in the quotation, proforma invoice, or order confirmation.
Orders may require advance payment, partial advance, or other agreed terms.
Production, dispatch, or booking may begin only after required payment or confirmation is received.
Late payments may result in order hold, delayed dispatch, or cancellation, and may attract reasonable charges where permitted.

9. SHIPPING, DELIVERY, AND RISK

Delivery timelines are estimates and may change due to production schedules, peak season, logistics delays, customs clearance, strikes, weather, or other factors outside our control.
Shipment terms (domestic or export) will be as stated in the quotation or invoice. If Incoterms are mentioned, they will apply as per the agreed Incoterms version.
Risk in the Products transfers as per the agreed shipping terms. If not specified, risk transfers upon dispatch or handover to the carrier.
The Buyer is responsible for providing correct shipping details. Re delivery or re routing charges due to incorrect details will be borne by the Buyer.

10. INSPECTION AND ACCEPTANCE

The Buyer must inspect goods promptly upon delivery or receipt.
Any visible damage, shortage, or mismatch must be reported within 48 hours of delivery, with clear photos and unboxing video where possible, plus supporting documents (delivery receipt, invoice, packing list).
If the Buyer fails to report within the stated time, goods may be treated as accepted.

11. RETURNS, REPLACEMENTS, AND CLAIMS

Because we supply wholesale B2B orders, returns are generally not accepted unless:

  • wrong item supplied, or
  • manufacturing defect verified by us, or
  • transit damage supported by courier documentation and evidence

If a return or replacement is approved:

  • items must be unused, unwashed, and in original packaging with tags and packing materials
  • the Buyer must follow our return instructions and timelines

Custom or made to order, private label, special packing, and bulk production orders may not be returnable, except for verified manufacturing defects.

12. CANCELLATION

Orders once confirmed may not be cancellable if procurement, production, or packing has started.
If cancellation is accepted in writing, it may involve deduction of costs already incurred (example: raw material, packaging, labour, sampling, bank charges).
We may cancel an order if payment is not received on time, if Buyer details are unverifiable, or if compliance requirements are not met.

13. WARRANTY DISCLAIMER

Unless expressly stated in writing, Products are supplied on an “as is” basis suitable for wholesale trade.
We do not provide consumer style warranties. Any limited warranty for defects, if offered, will be described in the invoice or order confirmation.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential, or punitive losses (including loss of profits, loss of business, loss of goodwill)
  • our total liability for any claim related to an order will not exceed the amount actually paid to us for the specific Products giving rise to the claim

Nothing in these Terms limits liability that cannot be limited under applicable law.

15. INTELLECTUAL PROPERTY

All Website content including logos, text, catalogs, product images, designs, and layout are owned by or licensed to Vormira Group.
You may not copy, reproduce, publish, distribute, or create derivative works without written permission.

16. CONFIDENTIALITY

Any non public information shared between you and us for business purposes (pricing, product lists, terms, designs, packing details) should be treated as confidential and used only for the intended transaction.

17. COMPLIANCE AND BUYER RESPONSIBILITIES

The Buyer is responsible for complying with laws and regulations in their market, including import rules, labeling, product compliance, and any local restrictions.
For export shipments, the Buyer must provide accurate documentation and information needed for shipping and customs where applicable.

18. FORCE MAJEURE

We are not responsible for delay or failure to perform due to events beyond our reasonable control, including natural disasters, fire, flood, pandemics, strikes, supply chain disruption, transport interruptions, government actions, power outages, or customs delays.

19. PRIVACY

Our collection and use of information is described in our Privacy Policy available on the Website. By using the Website or contacting us, you agree to our privacy practices.

20. CHANGES TO THESE TERMS

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date. Continued use of the Website after changes means you accept the updated Terms.

21. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of India. Subject to applicable law, courts at Jaipur, Rajasthan will have jurisdiction over disputes.
